THE GREG HEAD ACCEPTABLE USE POLICY

1. Lawful Use: You must use the Services solely in compliance with all applicable federal, state, local, and international laws, statutes, regulations, court orders, and governmental directives. No use of the Services that violates applicable law — whether directly, indirectly, or in facilitation of another's unlawful conduct — is permitted under any circumstance.
2. Respectful and Professional Conduct: The Company serves a professional community of experienced executives, operators, and aspiring private equity leaders. All users are expected to engage with Company personnel, other clients, community members, PE partners, and third parties with professionalism, courtesy, and respect. Harassment, intimidation, bullying, discrimination, abuse, threatening language, or conduct that demeans or harms any individual is strictly prohibited in all contexts, including written, verbal, and digital communications.
3. Good Faith: You must use the Services in good faith and for their intended purposes: professional development, private equity positioning, executive coaching, and related activities as described at the time of purchase. Any attempt to circumvent, game, manipulate, or abuse the Services, the Company’s pricing, refund policies, promotional offers, community standards, or any other operational terms is a violation of this AUP and of the Terms of Service.
4. Integrity of the Community: The Company’s programs depend on a high-trust, high-quality peer environment. Each user is responsible for preserving that environment through their conduct. Any action that degrades the quality, safety, reputation, or culture of the Company’s community — whether through content, communication, or behavior — is prohibited, regardless of whether the specific conduct is explicitly enumerated in Section 3.

1. Illegal Activities: You may not use the Services to engage in, facilitate, promote, or assist with any of the following:
   • Any illegal activity, criminal conduct, or violation of applicable laws, regulations, court orders, or governmental directives.
   • Infringement of the intellectual property rights, privacy rights, personality rights, or proprietary rights of any person or entity.
   • Fraud, misrepresentation, money laundering, tax evasion, identity theft, wire fraud, or any other financial crime.
   • Violation of export control laws, economic sanctions programs (including OFAC regulations), or trade restrictions.
   • Facilitation of illegal gambling, drug trafficking, human trafficking, child exploitation, or any form of organized criminal activity.
   • Unlawful collection, storage, use, or disclosure of another person's personal information, including without limitation in violation of the CCPA/CPRA, GDPR, CAN-SPAM Act, TCPA, or other applicable privacy and data protection laws.
   • Civil rights violations or conduct that discriminates against any person on the basis of a protected characteristic under applicable law.
2. Harmful or Malicious Technical Activities: You may not use the Services to engage in or facilitate any of the following:
   • Transmission, upload, distribution, or deployment of viruses, malware, ransomware, spyware, worms, Trojan horses, logic bombs, or any other harmful or malicious code or software.
   • Unauthorized access to, interference with, or exploitation of the Company's systems, servers, networks, databases, accounts, or infrastructure, or those of any third party.
   • Denial-of-service (DoS or DDoS) attacks, flooding, overloading, or any other activity intended to disrupt, degrade, or disable the availability or performance of the Services.
   • Hacking, cracking, port scanning, packet sniffing, unauthorized penetration testing, or any attempt to identify, exploit, or disclose security vulnerabilities in the Services or any connected systems.
   • Distribution of unsolicited bulk messages (spam), phishing communications, smishing, vishing, or other deceptive communications through or in connection with the Services.
   • Circumventing, bypassing, disabling, or defeating any security controls, access controls, authentication mechanisms, digital rights management (DRM) protections, or other protective measures applied to the Services or Company Content.
   • Deploying or operating automated systems — including bots, scrapers, crawlers, spiders, scripts, or macro tools — to access, interact with, harvest data from, or monitor the Services, without the Company's express prior written authorization.
   • Any other action that interferes with or disrupts the integrity, stability, security, or availability of the Services or the experience of other users.
3. Abusive, Harmful, or Prohibited Content and Conduct: You may not create, upload, post, transmit, distribute, display, or otherwise make available any content or engage in any conduct that:
   • Is threatening, abusive, harassing, defamatory, libelous, invasive of privacy, intimidating, or constitutes cyberbullying or cyberstalking against any individual.
   • Promotes, glorifies, incites, or facilitates violence, terrorism, extremism, or harm to any person, group, or property.
   • Contains hate speech or material that demeans, degrades, dehumanizes, or discriminates against individuals or groups based on race, color, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, age, veteran status, or other protected characteristics.
   • Is sexually explicit, pornographic, obscene, indecent, or otherwise inappropriate for a professional business context.
   • Promotes, facilitates, or provides instructions for self-harm, suicide, disordered eating, substance abuse, or other dangerous or harmful activities.
   • Contains graphic violence, gore, disturbing imagery, or other content calculated to shock, distress, or cause harm.
   • Impersonates another person, entity, or organization — including Company personnel, other clients, or public figures — or creates false, deceptive, or misleading identities.
   • Violates the dignity, privacy, or confidentiality of any individual, including sharing another person's private information without their consent ("doxxing").
   • Is false, misleading, or designed to deceive — including the fabrication or misrepresentation of results, credentials, affiliations, or testimonials.
4. Intellectual Property Violations: The Company's content, frameworks, methodologies, templates, playbooks, session recordings, and all other materials constitute valuable proprietary intellectual property. You may not:
   • Share, distribute, sell, sublicense, transfer, or otherwise make Company Content available to any third party in violation of the Terms of Service (Section 6 — Intellectual Property and Proprietary Rights).
   • Share, transfer, sell, or allow any other person to use your account login credentials or program access.
   • Record, screenshot, screen-capture, photograph, or otherwise reproduce any session, program content, event, or community interaction for the purpose of distribution, commercial use, or any purpose other than your own personal reference, without the Company's express prior written consent.
   • Upload, post, or distribute Company Content to torrent sites, file-sharing networks, cloud storage platforms, or any other medium for third-party access.
   • Create, develop, offer, or operate courses, coaching programs, consulting services, digital products, or any other commercial offering that is substantially derived from, incorporates, or replicates Company Content, frameworks, or methodologies.
   • Remove, alter, obscure, or tamper with any copyright notices, watermarks, branding, attribution statements, or proprietary markings on Company Content.
   • Reverse engineer, decompile, disassemble, or otherwise attempt to extract the proprietary methodologies, trade secrets, systems, frameworks, or algorithms embedded in Company Content or Services.
5. Commercial Misuse and Competitive Activity: You may not use the Services for any unauthorized commercial purpose or in a manner that is detrimental to the Company’s legitimate business interests, including:
   • Using the Services, relationships, content, or community access obtained through the Company to directly compete with, replicate, or substitute for the Company's business offerings.
   • Reselling, redistributing, sublicensing, white-labeling, or otherwise commercially exploiting access to the Services or any Company Content without the Company's express prior written authorization.
   • Soliciting, recruiting, prospecting, or marketing to other clients, community members, or Company personnel within or through the Services, without the Company's express prior written consent.
   • Scraping, harvesting, mining, or systematically collecting contact information, profile data, or other user data from the Services for any commercial or unauthorized purpose.
   • Using the Services for unauthorized advertising, promotional campaigns, affiliate marketing, multi-level marketing, or commercial solicitation of any kind.
   • Using the Services, or access obtained through the Services, to build a dataset, training set, or any input for artificial intelligence, machine learning, or large language model training purposes, without express prior written consent from the Company.
6. Misuse of the Company’s Communication Channels: With respect to any email, text, video, telephone, or other communication channel provided as part of the Services (including the email/text support access included in programs), you may not:
   • Use communication channels for purposes unrelated to the Services you have purchased or to which you have legitimate access.
   • Send abusive, threatening, defamatory, or harassing communications to Company personnel, Greg Head, or other users through any channel.
   • Use communication access to conduct business competitive with the Company or to solicit Company personnel for external engagements.
   • Misrepresent the nature or urgency of a communication to obtain a faster or more favorable response than your service tier provides.
   • Attempt to extract advice, guidance, or deliverables beyond the scope of your purchased service through support channels.

1. All posts, comments, messages, and contributions must be relevant to the professional development and private equity positioning focus of the community.
2. Sharing competitor content, unsolicited promotional materials, affiliate links, or commercial offers within the community is prohibited without the Company's prior written consent.
3. Sharing personal contact information of other community members externally, or using community-obtained contact information for solicitation, is prohibited.
4. Confidential information shared by other community members in the context of peer discussion — including career situations, business strategies, or personal challenges — must be treated as confidential and may not be disclosed outside the community.
5. All engagement must maintain the professional, collegiate, and constructive tone expected of senior executive professionals.
6. The Company reserves the right to remove any content from the community space that it determines, in its sole discretion, to be inconsistent with these standards or the spirit of the program.

1. Issuance of a written warning with a specified cure period for minor or first-time violations.
2. Temporary suspension of access to all or part of the Services pending investigation or resolution.
3. Permanent termination of account and access to all Services, without refund of any amounts paid.
4. Removal, restriction, or quarantine of offending content from any platform or channel operated by the Company.
5. Referral to law enforcement authorities for conduct that constitutes or may constitute criminal activity.
6. Civil legal action, including claims for compensatory damages, statutory damages, injunctive relief, disgorgement of profits, and recovery of attorneys' fees and costs.
7. Reporting of conduct to relevant professional or regulatory bodies where applicable.

Enforcement actions are cumulative and not mutually exclusive. The Company's election of one remedy does not preclude it from pursuing additional or alternative remedies under this AUP, the Terms of Service, or applicable law.

Reports may be submitted anonymously. The Company will acknowledge all reports within two (2) business days and will investigate in a timely and confidential manner. Submission of a report does not guarantee that enforcement action will be taken, and the Company retains sole discretion over all enforcement decisions.

1. You will not use AI-assisted outputs or frameworks provided by the Company to train, fine-tune, or otherwise develop third-party AI models, software, or applications.
2. You will not represent AI-assisted content generated in connection with the Services as entirely your own independent work in contexts where the distinction is material (e.g., regulated professional submissions).
3. You acknowledge that AI-assisted tools are provided as strategic aids and do not constitute legal, financial, investment, tax, or career placement advice.
4. You will comply with all applicable laws and professional standards governing the use of AI-generated content in your jurisdiction and professional context.

1. Conduct yourself with the highest degree of professionalism, honesty, and courtesy in all direct communications with PE partners or their representatives introduced through the Company.
2. Accurately represent your credentials, background, experience, and investment thesis in all materials and communications related to PE introductions.
3. Not misrepresent your relationship with, endorsement by, or affiliation with the Company or Greg Head to any PE partner or third party.
4. Not contact PE partners, firms, or representatives introduced through the Company for purposes other than the professional opportunity for which the introduction was made, without the Company's prior written consent.
